Introduction

SCAD is a foundation organized under the laws of the Netherlands. Its purpose under its articles is to safeguard the interests of Koninklijke Ahold Delhaize N.V. (KAD or the Company) and all stakeholders in KAD and its subsidiaries and to avert, to the best of its ability, influences that might conflict with those interests by affecting the Company’s continuity, independence or identity. SCAD seeks to realize its objectives by acquiring and holding cumulative preferred shares and by exercising the rights attached to these shares, including the voting rights. The SCAD board has four members, who are appointed by the board of SCAD itself.
